Please review these Terms of Use (“Terms”) carefully, as they set forth the legally binding terms and conditions that govern your use of our website located at https://peek.fun (“Website”), access to our mobile application user interface accessible via App Store and Google Play Store (the “Interface” or “App”), together with related trademarks, software code, and other intellectual property, (To make these Terms easier to read, the Website, App, our other intellectual property, and our services are collectively called “Peek”). These Terms expressly cover your rights and obligations, and our disclaimers and limitations of legal liability, relating to your use of, and access to Peek.
Peek is copyrighted works belonging to Daydream Studio, Inc. (“Daydream,” “Company,” “us,” “our,” and “we”), a Delaware corporation. Your submission of information, including personally identifiable information or personal data (“Personal Data”), through or in connection with Peek is governed by the terms of our privacy policy as updated from time to time (“Privacy Policy”). All such additional terms, guidelines, and rules, including our Privacy Policy, are incorporated by reference into these Terms.
IMPORTANT NOTICE REGARDING ARBITRATION: WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND DAYDREAM THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 19 (DISPUTE RESOLUTION & ARBITRATION) BELOW FOR DETAILS REGARDING ARBITRATION. HOWEVER, IF YOU ARE A RESIDENT OF A JURISDICTION WHERE APPLICABLE LAW PROHIBITS ARBITRATION OF DISPUTES, THE AGREEMENT TO ARBITRATE IN SECTION 19 WILL NOT APPLY TO YOU BUT THE PROVISIONS OF SECTION 20 (GOVERNING LAW) WILL APPLY INSTEAD.
Please carefully review the disclosures and disclaimers set forth in Section 17 in their entirety before using any software initially developed by Daydream. The information in Section 17 provides important details about the legal obligations associated with your use of Peek.

Agreement to Terms. By accessing and using Peek, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, you are not authorized to use Peek. Because Peek is evolving over time, we may change or discontinue all or any part of Peek, at any time, and without notice, at our sole discretion.

Privacy Policy. Please review our Privacy Policy, which also governs your use of Peek, for information on how we collect, use and share your information.

Description of the Interface
- The Interface. The interface hosted by Daydream is a creator platform that lets content creators (“Creators”) publish collections of digital media (e.g., images, tweets) and lets supporters (“Users,” “you”) follow and interact with those Creators. Via your own self-custody wallet, you may access permissionless blockchain protocols to acquire or trade blockchain-based digital assets associated with a Creator (“Creator Tokens”).
- The App. The App allows Creators to launch their own digital assets by providing a user interface for Creators to deploy their own digital asset smart contracts via their self-custodial wallets, and Users to view collections that have been launched by creators who have set up a collection of digital media and attached a contract address to the collection. When Users find a collection they would like to support, they can use the App to access certain blockchain based digital asset trading protocols (“Trading Protocols”) which are comprised of self executing smart contracts that are deployed on Solana, and potentially other networks in the future. The Trading Protocols, which are not developed, maintained, or operated by the Company, allows users to exchange a digital token or cash (that is then converted into digital tokens by Daydream custodial service providers), for tokens issued by the creators of the projects on the App (the “Creator Token”).
- Third Party Service Providers. Fiat on-ramp/off-ramp functionality is offered through regulated custodial providers such as MoonPay or Coinbase (each, a “Third-Party Service Provider”). Their own terms of use and privacy policies apply, and the Company disclaims all responsibility and liability for those services. By using a Third-Party Service Provider, you accept its terms and all associated risks.
- Trading Protocols. The Interface also allows Users to interact with the Trading Protocols, including Meteora and Jupiter, which are comprised of open source self-executing smart contracts that are deployed on permissionless public blockchains, such as Solana. The Trading Protocols allow Users to trade certain compatible digital assets. The Interface is distinct from the Trading Protocols and is one, but not the exclusive, means of accessing the Trading Protocols. Daydream, or any entity it is associated with, did not develop and does not currently, or at any time ever, control or operate any version of the Trading Protocols on any blockchain network. By using the Interface, you understand that you are not buying or selling digital assets from us and that we do not control trade execution on the Trading Protocols. When traders pay fees for trades, those fees accrue to protocol and network participants, such as liquidity providers for the Trading Protocols. The Trading Protocols were deployed on blockchain networks by parties other than Daydream.

Connecting to The Interface
- Peek enables you to manage and control your digital assets directly, through access to an “embedded wallet”. The embedded wallet provider is currently Privy [https://www.privy.io/], and as part of using Peek you will need to agree to the Privy terms of use [https://www.privy.io/user-terms-of-service] too. For Privy, the extent of our role is to integrate the code for accessing Privy into Peek.
- We don’t have access to your digital assets and if you lose access to them we’ll be unable to restore them. Accordingly, you must export your private key(s) so that you have a backup. It is critical to do this promptly after initializing Peek, before you make use of the send or receive functionality in Peek.
- If Privy ever stops working you will still be able to access your digital assets provided that you have your backed up private key(s). If at any time you wish to manage your digital assets with another program, you may do so, and you may do so concurrently, because Peek implements a widely-compatible method of private key management. In the event that you are dissatisfied with Peek, you may immediately switch to another program, and this shall be your sole remedy if you are dissatisfied with any part of the experience.
- If you post or otherwise make content available through Peek’s social features (“User Content”), you grant the Company a worldwide, perpetual, irrevocable, sublicensable, royalty-free licence to use, reproduce, adapt, publish, and display that User Content in connection with operating and promoting Peek. You also agree to follow our Community Guidelines; violations may result in suspension or termination of access.

The Creator Token
By accessing or using Peek in any way, you represent and warrant that:

You acknowledge and agree that (a) the Creator Tokens are speculative, involve a high degree of risk, may be illiquid, may have no value, have limited regulatory certainty, are subject to potential market manipulation risks and may expose purchasers to loss of principal; (b) purchasers of the Creator Tokens must be able to afford the loss of their entire purchase; (c) You will conduct your own due diligence on any Creator Tokens, not rely on any assumptions that may be displayed in Peek, and are encouraged to consult with a financial advisor, attorney, accountant, tax advisor, and any other professional that can help you to understand and assess the risks associated with any opportunity to purchase Creator Tokens; and (d) past performance is not indicative of future results.

You understand and acknowledge that (a) the Creator Tokens do not represent any ownership, equity, profit-sharing or entitlement to financial returns; and(b) the price of Creator Tokens may be impacted by reasons completely outside of Daydream’s or the Creator’s control, including, but not limited to, general digital asset market conditions.

Identity Verification and Transaction Monitoring
- You agree and acknowledge that We will collect User information in order to use certain features of the Interface. This may include, and is not limited to, the following: X (formerly known as Twitter) handle, email, username, profile picture, and Wallet address. If you are unable to provide any of the requested information, you may be prevented from accessing certain features of the Interface. We will not be liable for any loss or damage arising from your failure to comply with this section.
- You authorize us to make inquiries, whether directly or through third parties, that we consider necessary to verify your identity or protect you and/or us against fraud or other financial crime, and to act as we reasonably deem necessary based on the results of such inquiries. When we carry out these inquiries, you acknowledge and agree that your personal data may be disclosed to fraud prevention or financial crime agencies.
- You agree and acknowledge that your Wallet address may be screened for regulatory compliance by a vendor when accessing Peek. By agreeing to these Terms, you are also agreeing to the terms and conditions and privacy policy of our Wallet screening vendor is when You access Peek. Any sharing of personal data between Daydream and our Wallet Screening Vendor is governed by the Peek Privacy Policy.
- You agree and acknowledge that Daydream may review any necessary information to comply with applicable law and/or its internal compliance standards including monitoring on-chain activity associated with your Wallet. Daydream may further block certain transactions from being executed with the help of the Interface if we determine in our sole discretion such transactions would violate applicable law or would other not be permitted by these Terms.
- Failure to provide any reasonably requested information pursuant to applicable money laundering and sanctions laws and regulations after you have become a User shall be grounds for the suspension of your account and/or termination of these Terms.

Use of Peek
- As a condition to accessing or using Peek, you represent and warrant to Daydream the following:
- if you are entering into these Terms as an individual, that you are at least 18 years old or of legal age in the jurisdiction in which you reside, have the legal capacity to enter into these Terms and be bound by them, and are not otherwise barred from using Peek under applicable law;
- if you are entering into these Terms as an entity, then you must have the legal authority to accept these Terms on that entity’s behalf, in which case “you” (except as used in this paragraph) will mean that entity;
- you are the exclusive beneficial and/or legal owner of any digital asset used or to be used for the purchase or sale of any digital asset on Peek;
- you will comply with all applicable laws when using Peek.
- you are not located in a country that is subject to a U.S. Government embargo;
- you are not listed on any U.S. Government list of prohibited, sanctioned, or restricted parties.
- You are solely responsible for ensuring that your access and use of Peek in such country, territory, or jurisdiction does not violate any applicable laws.
- You will not use any software or networking techniques, including use of a Virtual Private Network (VPN) to modify your internet protocol address or otherwise circumvent or attempt to circumvent this prohibition.
- you are not a resident, national, or agent of Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk People’s Republic and Luhansk People’s Republic regions of Ukraine or any other country to which the United States or any other country to which the United States, the United Kingdom or the European Union embargoes goods or imposes similar sanctions (collectively, “Restricted Territories”);
- you have not been identified as a Specially Designated National or placed on any sanctions lists by the U.S. Treasury Department’s Office of Foreign Assets Control, the U.S. Commerce Department, or the U.S. Department of State (collectively, “Sanctions Lists Persons”); and you will not use our Website to conduct any illegal or illicit activity;
- you do not intend to and will not transact with any Restricted Person or Sanctions List Person;
- you do not, and will not, use VPN software or any other privacy or anonymization tools or techniques to circumvent, or attempt to circumvent, any restrictions that apply to the Website or App; and
- your access to Peek is not (a) prohibited by and does not otherwise violate or assist you to violate any domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree, or another directive, requirement, or guideline, published or in force that applies to or is otherwise intended to govern or regulate any person, property, transaction, activity, event or other matter, including any rule, order, judgment, directive or other requirement or guideline issued by any domestic or foreign federal, provincial or state, municipal, local or other governmental, regulatory, judicial or administrative authority having jurisdiction over Daydream, you, Peek, or as otherwise duly enacted, enforceable by law, the common law or equity (collectively, “Applicable Laws”); or (b) contribute to or facilitate any illegal activity.
- As a condition to accessing or using Peek, you acknowledge, understand, and agree to the following:
- from time to time, any part of Peek may be inaccessible or inoperable for any reason, including, without limitation: (a) equipment malfunctions; (b) periodic maintenance procedures or repairs that Daydream or any of its suppliers or contractors may undertake from time to time; (c) causes beyond Daydream’s control or that Daydream could not reasonably foresee; (d) disruptions and temporary or permanent unavailability of underlying blockchain infrastructure; or (e) unavailability of third-party service providers or external partners for any reason;
- we reserve the right to disable or modify access any part of Peek at any time in the event of any breach of these Terms, including, without limitation, if we reasonably believe any of your representations and warranties may be untrue or inaccurate, and we will not be liable to you for any losses or damages you may suffer as a result of or in connection with Peek being inaccessible to you at any time or for any reason;
- We reserve the right, but have no obligation, to monitor the locations from which Peek is accessed. Furthermore, we reserve the right, at any time, in our sole discretion, to block access to Peek, in whole or in part, from any geographic location, IP addresses, and unique device identifiers, or to any user who we believe is in breach of these Terms.
- Peek may evolve, which means Daydream may apply changes, replace, or discontinue (temporarily or permanently) any part of Peek at any time in its sole discretion;
- Daydream does not act as an agent for you or any other User of Peek;
- you are solely responsible for your use of Peek, including all of your transfers and conversions of digital assets;
- to the fullest not prohibited by Applicable Law, we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, you hereby irrevocably disclaim, waive, and eliminate those duties and liabilities;
- neither we nor any affiliated entity is a party to any transaction on the blockchain networks underlying the Trading Protocols; we do not have possession, custody, or control over any cryptoassets, or any User’s funds; when you interact with the Trading Protocols, you retain control over your cryptoassets at all times;
- due to the non-custodial and decentralized nature of the technology, We are not intermediaries, agents, advisors, or custodians, and we do not have a fiduciary relationship or obligation to you regarding any other decisions or activities that you affect when using the Interface;
- all transactions accessed through the blockchain-based networks will be automatically processed using one or more smart contracts; by engaging in transactions using the Interface, you acknowledge and consent to the automatic processing of all transactions in connection with using the Interface; You further acknowledge and agree that the applicable smart contract will dictate how the funds of a transaction and ownership of cryptoassets are distributed;
- You bear sole responsibility for evaluating the Services before using them, and all transactions on the blockchain are irreversible, final, and without refunds; the Interface may be disabled, disrupted, or adversely impacted as a result of sophisticated cyber-attacks, surges in activity, computer viruses, and/or other operational or technical challenges, among other things; We disclaim any ongoing obligation to notify you of all the potential risks of using and accessing the Interface; You agree to accept these risks and agree that you will not seek to hold Daydream responsible for any consequent losses;
- from time to time, the Interface may be inaccessible or inoperable for any reason, including, but not limited to equipment malfunctions, periodic maintenance procedures or repairs, causes beyond our control or that we could not reasonably foresee, disruptions and temporary or permanent unavailability of underlying blockchain infrastructure or unavailability of third-party service providers or external partners for any reason.
- We do not have information regarding all Trading Protocols transactions beyond what is available or obtainable publicly via the blockchain, however, we may collect information regarding Users in accordance with our Privacy Policy;
- Transactions using blockchains may require the payment of gas fees, which are essentially network transaction fees paid on every transaction that occurs on the selected blockchain network; gas fees are non-refundable, and we do not provide any services to Users or deliver, hold, and/or receive payment for cryptoassets; We do not receive any fees for any transactions or the the Interface;
- you are solely responsible for reporting and paying any taxes applicable to your use of Peek; and
- we have no control over, or liability for, the delivery, quality, safety, legality, or any other aspect of any digital assets that you may transfer to or from a third party, and we are not responsible for ensuring that an entity with whom you transact completes the transaction or is authorized to do so, and if you experience a problem with any transactions in digital assets using Peek, then you bear the entire risk.
- As a condition to accessing or using Peek, you covenant to Daydream the following:
- In connection with using Peek, you only will transfer or convert to fiat currency legally obtained digital assets that belong to you;
- you will obey all Applicable Laws in connection with using Peek, and you will not use Peek if the laws of your country, or any other Applicable Law, prohibit you from doing so;
- any digital assets you use in connection with Peek are either owned by you or you are validly authorized to carry out actions using such digital assets; and
- in addition to complying with all restrictions, prohibitions, and other provisions of these Terms, you will maintain the security and confidentiality of your private keys associated with your public digital wallet address.
- In connection with your use of Peek, you may be required to pay all fees necessary for interacting with blockchain networks, including “gas” fees or other network transaction fees, as well as all other fees reflected on Peek. Network transaction fees change, often unpredictably, and their price is entirely outside of the control of Daydream. Although we attempt to provide accurate fee information, this information reflects our estimates of fees, which may vary from the actual fees paid to use Peek and interact with the blockchain networks. You acknowledge that under no circumstances will a transaction be invalidated, revocable, retractable, or otherwise unenforceable on the basis that the gas fee for the given transaction was unknown, too high, or otherwise unacceptable to a User. You also acknowledge and agree that the gas fee is non-refundable under all circumstances.

No Professional Advice or Fiduciary Duties
- All information provided in connection with your access and use of Peek is for informational purposes only and should not be construed as professional advice. You should not take, or refrain from taking, any action based on any information contained on Peek or any other information that we make available at any time, including, without limitation, blog posts, articles, links to third-party content, discord content, news feeds, tutorials, tweets, and videos. Before you make any financial, legal, or other decisions involving Peek, you should seek independent professional advice from an individual who is licensed and qualified in the area for which such advice would be appropriate. The Terms are not intended to, and do not, create or impose any fiduciary duties on us. You further agree that the only duties and obligations that we owe you are those set out expressly in these Terms.

Prohibited Activity
- You may not use Peek to engage in the categories of activity set forth below (“Prohibited Uses”). The specific activities set forth below are representative, but not exhaustive, of Prohibited Uses. If you are uncertain as to whether or not your use of Peek involves a Prohibited Use or have other questions about how these requirements apply to you, then please contact us at [email protected]. By using Peek, you confirm that you will not use Peek to do any of the following:
- violate any Applicable Laws including, without limitation, any relevant and applicable anti-money laundering and anti-terrorist financing laws and sanctions programs of any jurisdiction, such as, without limitation, the Bank Secrecy Act, and the U.S. Department of Treasury’s Office of Foreign Asset Controls;
- engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under Applicable Law, including but not limited to use of Daydream’s intellectual property, name, or logo, including use of Daydream’s trade or service marks, without express consent from Daydream or in a manner that otherwise harms Daydream; any action that implies an untrue endorsement by or affiliation with Daydream;
- use Peek in any manner that could interfere with, disrupt, negatively affect, or inhibit other Users from fully enjoying Peek, or that could damage, disable, overburden, or impair the functioning of Peek in any manner;
- circumvent any content-filtering techniques, security measures or access controls that Daydream employs on Peek, including, without limitation, through the use of a VPN;
- use any robot, spider, crawler, scraper, or other automated means or interface not provided by us, to access Peek or to extract data, or introduce any malware, virus, Trojan horse, worm, logic bomb, drop-dead device, backdoor, shutdown mechanism or other harmful material into Peek;
- provide false, inaccurate, or misleading information while using Peek or engage in activity that operates to defraud Daydream, other Users of Peek, or any other person;
- use or access Peek to transmit or exchange digital assets that are the direct or indirect proceeds of any criminal or fraudulent activity, including, without limitation, terrorism, or tax evasion;
- use Peek in any way that is, in our sole discretion, libelous, defamatory, profane, obscene, pornographic, sexually explicit, indecent, lewd, vulgar, suggestive, harassing, stalking, hateful, threatening, offensive, discriminatory, bigoted, abusive, inflammatory, fraudulent, deceptive, or otherwise objectionable or likely or intended to incite, threaten, facilitate, promote, or encourage hate, racial intolerance, or violent acts against others;
- use Peek from a jurisdiction that we have, in our sole discretion, determined is a jurisdiction where the use of Peek is prohibited;
- harass, abuse, or harm of another person or entity, including Daydream’s employees and service providers;
- impersonate another User of Peek or otherwise misrepresent yourself; or
- encourage, induce, or assist any third party, or yourself attempt, to engage in any of the activities prohibited under this Section 9 or any other provision of these Terms.

Proprietary Rights
- Subject to these Terms, Daydream grants you a non-transferable, non-exclusive, revocable, limited license to use and access Peek for your own personal and noncommercial use.
- The rights granted to you in these Terms are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit Peek, whether in whole or in part, or any content displayed on the Website; (b) you shall not (directly or indirectly) modify, decipher, disassemble, reverse compile or reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of Peek; (c) you shall not access Peek in order to build a similar or competitive website, product, or service; (d) translate, or otherwise create derivative works of any part of the Website; (e) rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder; (f) frame or mirror any part of Peek without Daydream’s express prior written consent; (g) create a database by systematically downloading and storing Website content; (h) use any robot, spider, search/retrieval application or other manual or automatic device to retrieve, harvest, index, “scrape,” “data mine” or in any way gather Website or reproduce or circumvent the navigational structure or presentation of the Website without Daydream’s express prior written consent and (i) except as expressly stated herein, no part of the Website may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means. Unless otherwise indicated, any future release, update, or other addition to functionality of Peek shall be subject to these Terms.
- Daydream reserves the right, at any time, to modify, suspend, or discontinue Peek (in whole or in part) with or without notice to you. You agree that Daydream will not be liable to you or to any third party for any modification, suspension, or discontinuation of Peek, or any part thereof.
- You acknowledge and agree that Daydream will have no obligation to provide you with any support or maintenance in connection with Peek.
- You acknowledge that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in Peek and its content are owned by Daydream. Neither these Terms (nor your access to Peek) transfers to you or any third party any rights, title, or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in these Terms. Daydream and its suppliers reserve all rights not granted in these Terms. There are no implied licenses granted under these Terms.
- We appreciate feedback, comments, ideas, proposals and suggestions for improvements to Peek (“Feedback”). If you choose to submit Feedback, you agree that we are free to use it without any restriction or compensation to you.
